Your monster, your IP

Lil Monsters Holder License

The short version: while you hold a Lil Monster, you can use that character, its art and its character bible, including commercially. When you sell or transfer it, those rights move to the new holder. The “Lil Monsters” name and brand stay with the creator. Don't use your monster for hate.

You can

  • Use your character's art and bible personally
  • Make and sell films, comics, books, games, music, merch
  • Adapt it: redraw it, animate it, write new stories
  • Say it is “Lil Monsters #1234”

You can't

  • Use monsters you don't hold
  • Use the Lil Monsters name or logo as your own brand
  • Imply the project endorses you
  • Use it for hateful, harassing or illegal content

1. Definitions

  • Creator: the creator of the Lil Monsters collection (“we”, “us”).
  • NFT: a token of the official Lil Monsters smart contract on Robinhood Chain, as listed on the official website.
  • Holder: the wallet that owns a specific NFT on-chain at a given time (“you”).
  • Your Character: the artwork associated with the token id of the NFT you hold, plus that token's character bible (name, personality, story, legend text, arc, powers, weakness, relationships and prompts) as published by the Creator.
  • Brand: the names “Lil Monsters” and “The Hollow” as a collection/brand name, logos, the website, and the collection as a whole.

2. What you own and what we keep

Owning the NFT means you own the token. The Creator keeps the copyright in the artwork and texts. This license gives you broad rights to use Your Character for as long as you are its Holder.

3. Your license

While you are the Holder, the Creator grants you a worldwide, royalty-free, non-exclusive license to use, copy, display, modify, adapt and create derivative works from Your Character, for personal and commercial purposes. That includes, for example, films, animation, comics, books, games, music, merchandise and physical goods.

There is no revenue cap in this draft. (Lawyer to confirm.)

4. What you make

You own the new, original material you add in your own derivative works (for example your new script, panels or animation), subject to the Creator's underlying rights in Your Character.

5. When the NFT changes hands

The license follows the token. When you sell or otherwise transfer the NFT, your license ends and the new Holder receives it. Ownership is determined by the on-chain record.

Works you published, and merchandise you produced, while you were the Holder may continue to be sold for a wind-down period of [90] days after transfer. You may not start new uses after transfer. (Wind-down terms to be confirmed by counsel.)

6. The brand stays with the creator

  • You may describe your work factually, e.g. “featuring Lil Monsters #1234”.
  • You may not use the Brand as the name of your product, company, project or token, or in a way that suggests the Creator endorses or is involved in your work.
  • You may not register trademarks in the Brand or in Your Character's artwork.

7. Prohibited uses

You may not use Your Character, or any Lil Monster, in content that:

  • promotes hate, discrimination or violence against people based on who they are;
  • harasses, threatens or defames anyone;
  • is sexual content involving minors, or otherwise illegal;
  • is used for scams, phishing, fraud or misleading financial promotion;
  • creates or sells other NFTs or tokens of the artwork that could be confused with the official collection.

8. Folklore belongs to everyone

The legends behind the monsters (the yeti, the kappa, the Jersey Devil and the rest) are public folklore. This license is about the specific Lil Monsters artwork and character bible, not the underlying myths, which anyone may use.

9. What the creator may do

The Creator may use all Lil Monsters artwork and lore to operate, promote and extend the collection (website, social media, marketplace listings, the bestiary, future chapters), and may display any token, including yours, for those purposes.

10. Ending the license

If you seriously breach this license, the Creator may end your rights under it after notice. Rights end automatically for a previous Holder when the NFT is transferred.

11. No warranty

The artwork and lore are provided “as is”. To the extent allowed by law, the Creator gives no warranties and is not liable for indirect or consequential losses arising from your use of Your Character.

12. Changes and governing law

Governing law, jurisdiction, dispute resolution and how future changes are communicated: [to be set by counsel]. Any change will not take away rights already granted for works you have already published.
